This Platform Usage Agreement ('Agreement') is a legally binding electronic contract between you, as an individual user or a legally authorized representative of an organization ('User', 'you'), and us (hereinafter referred to as 'FinFan', 'we'). This Agreement governs the entire and sole access and use of FinFan's 'Platform'.
By continuing to access or perform any interaction with the Platform, you confirm that you are entering into a legally binding agreement.
IF YOU DO NOT UNDERSTAND OR AGREE WITH ANY TERM IN THIS AGREEMENT, YOU MUST CEASE USING THE PLATFORM IMMEDIATELY. WE RECOMMEND YOU SEEK INDEPENDENT LEGAL ADVICE IF NECESSARY.
You acknowledge and agree that your actions constitute your full, unconditional, and irrevocable acceptance of this entire Agreement, including the referenced Privacy Policy. Actions constituting acceptance include, but are not limited to, any of the following: (i) Accessing, scrolling, or viewing any content on the Platform; (ii) Clicking on any link or button; (iii) Using any Service; (iv) Subscribing to a newsletter (if any) or any other form of marketing communication from us; and/or (v) Interacting with our official social media channels.
Your continued use of the Platform after having the opportunity to review this Agreement shall be deemed as evidence of your full acceptance of this Agreement. By accepting this Agreement, you represent and warrant that: (i) You have the full legal capacity to enter into a legally binding contract; and (ii) If you are acting on behalf of an organization, you represent and warrant that you are a legally authorized representative of that organization and have the full authority to bind that organization to this Agreement. In such a case, the terms 'you' and 'User' shall include the organization you represent.
FinFan reserves the full right, at its sole and absolute discretion, to amend, supplement, replace, or remove all or any part of this Agreement at any time. All changes will be notified to Users by posting an updated version of the Agreement on the Platform. The 'Last Updated' date at the top of the document will be adjusted accordingly. This posting is considered the official, public, and valid form of notice to all Users. The changes will become legally binding on you immediately from the moment the new version is posted, unless otherwise specified in the notice. You are responsible for regularly accessing and reviewing this Agreement to be aware of any changes. FinFan has no obligation to send individual notices to each User. Your continued access or use of the Platform after the changes take effect will be deemed as your full, unconditional, and irrevocable agreement and acceptance of the modified version of the Agreement.
1. DEFINITIONS, SCOPE, AND LEGAL VALIDITY
1.1. Definitions: Unless the context otherwise requires, the capitalized terms in this Agreement shall have the meanings as defined below.
a) 'FinFan' or 'we': is Best Way Corporation, the owner and operator of the Platform.
b) 'User' or 'you': is any individual or organization that accesses or interacts with the Platform in any form.
c) 'Agreement': is the entire text of this 'Platform Usage Agreement', the version in effect at any given time, including the Privacy Policy and any other policies referenced by FinFan herein.
d) 'Platform': is the system of channels and interfaces operated by FinFan to provide information and marketing, including the website finfan.io, future mobile applications, and official marketing communication channels.
e) 'Applicant': is an individual or organization that has initiated the registration process on the Platform to use the Core Services, has provided information to FinFan, but has not yet received final approval from FinFan. The provisions on security and privacy will apply to the Applicant from the moment they begin providing information.
f) 'Prohibited Content': is any information, data, text, image, video, audio, or other material that a User posts, displays, or disseminates on the Platform, and which, at FinFan's sole and absolute discretion, is deemed to violate the law, ethical standards, or the provisions of this Agreement. This list includes, but is not limited to:
- (i) Content that is defamatory, libelous, slanderous, or causes harm to the honor and reputation of other individuals or organizations.
- (ii) Content that is pornographic, obscene, indecent, or contrary to the traditional customs and morals of Vietnam.
- (iii) Content that is hateful, incites violence, or is discriminatory based on race, religion, gender, nationality, sexual orientation, or any other characteristic protected by law.
- (iv) Content that is false, fraudulent, or misleading to others.
- (v) Content that infringes upon the intellectual property rights, trade secrets, or other proprietary rights of any party.
- (vi) Spam, unsolicited advertising, or illegal multi-level marketing schemes.
- (vii) And any other content that FinFan, in its sole discretion, deems inappropriate or potentially harmful to the Platform, its brand, or its community of users.
g) 'Ancillary Services': are all functions, tools, and content provided for free on the Platform.
h) 'Intellectual Property': is all intellectual property rights, whether registered or unregistered, that constitute or are displayed on the Platform.
i) 'Core Services': are the for-fee financial technology services provided by FinFan to registered and approved Customers.
j) 'Customer': is an Applicant who has been fully verified by FinFan and has received an official notification of approval to use the Core Services. Only upon becoming a Customer does the individual or organization have the right to fully access and use the Core Services in accordance with the Platform Services Agreement.
1.2. Scope of this Agreement: This Agreement exclusively and entirely governs the legal relationship between FinFan and the User concerning your access to and use of the Public Platform and the Ancillary Services. This Agreement supersedes and invalidates all prior or contemporaneous discussions, agreements, or representations between you and FinFan related to this subject matter. The User irrevocably acknowledges and agrees that, in any event of conflict, overlap, or ambiguity between the provisions of this Agreement and any other agreement, policy, or terms of service, then the version, clause, or interpretation that creates more rights, imposes fewer obligations, provides broader limitations of liability, and yields the best legal benefit for FinFan shall have absolute prevailing effect. FinFan reserves the full right, at its sole and absolute discretion, to determine and select the applicable clause in order to maximally protect the legal rights and interests of FinFan.
2. INTELLECTUAL PROPERTY RIGHTS
2.1. Acknowledgment of FinFan's Exclusive Ownership: The User acknowledges that the Platform and all related Intellectual Property are the exclusive and sole property of FinFan or its licensors, protected to the fullest extent by the laws of Vietnam and international conventions.
2.2. Limited, Conditional, and Revocable License: FinFan grants the User a limited, non-exclusive, non-transferable license, which may be revoked at any time at FinFan's sole discretion. This license is for personal, non-commercial use only. Any violation will result in the immediate and automatic termination of this license.
2.3. Strictly Prohibited Infringing Acts: You are not permitted to: Copy, distribute, modify, create derivative works from, commercially use, reverse engineer, data scrape, use trademarks, or "frame" any part of the Intellectual Property without FinFan's prior written consent.
2.4. Feedback and Contributions: Any feedback, ideas, or suggestions you provide to FinFan shall be deemed non-confidential, and you irrevocably assign all ownership rights of such feedback to FinFan without any right to compensation or attribution.
2.5. Remedies for Breach: Any breach of Article 2 will cause irreparable harm. FinFan is entitled to seek immediate injunctive relief from a court to prevent any such breach.
3. DISCLAIMER OF LIABILITY
3.1.Platform Principle: FinFan provides all Ancillary Services on an "as is" and "as available" basis. This means we make no commitments or warranties regarding their quality, performance, or suitability. To the fullest extent permitted by law, FinFan expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to: (i) Warranties of accuracy, completeness, reliability, timeliness, or non-infringement of information and data; (ii) Warranties of merchantability or fitness for a particular purpose; (iii) Warranties of continuous, uninterrupted, secure, or virus-free operation; and (iv) Warranties of non-infringement of third-party intellectual property rights. FinFan has no obligation to correct errors, provide updates, or offer technical support for any Ancillary Services.
3.2. Specific Disclaimer for Interactive Tools:
a) FX Rate Tool:The displayed exchange rates are for reference only.
b) Tracking System:Tracking information may be delayed or inaccurate and is not an official statement of account.
3.3. Specific Disclaimer for Informational Content:
a) Blogs, News, Analysis:This content does NOT constitute financial, investment, legal, or tax advice. Users must seek advice from independent professionals.
b) No Obligation to Update:The financial, technological, and legal landscapes are constantly changing. Therefore, the User acknowledges and understands that all informational content such as blog posts, news, and analyses posted on the Platform only reflect the information, data, and opinions of the author at the original time of posting. Although we strive to provide useful information, FinFan does not commit to, warrant, or have any legal obligation to review, amend, or update posted content to reflect events, developments, or changes in circumstances that occur after the date of publication. Information may become outdated and no longer accurate. Therefore, the User is responsible for verifying and assessing the suitability and timeliness of any information before relying on it to make a decision.
3.4. Disclaimer for Marketing Communication Channels: Information sent via email, text messages (if any) is for introductory purposes only and does not constitute a formal offer. Promotions may be changed or canceled at FinFan's sole discretion.
3.5. No Professional Relationship Created: Your use of the Ancillary Services does not create any advisory or fiduciary relationship between you and FinFan.
3.6. Risk Borne by User: You use the Platform and the Ancillary Services voluntarily and assume all risks.
4. USER CONDUCT AND PROHIBITED ACTIVITIES
4.1. General Compliance Obligation: The User agrees and undertakes to use the Platform only for lawful purposes, in accordance with these Terms, applicable laws, and social norms. You are solely and fully responsible for all your actions, content, and interactions on the Platform, as well as any legal consequences arising therefrom.
4.2. Strictly Prohibited Activities: The User is strictly prohibited from performing, or assisting or encouraging any third party to perform, any of the following acts. This list is illustrative and not exhaustive of all prohibited acts:a) Acts in Violation of Law and Security.
b) Acts in Violation of Intellectual Property Rights.
c) Acts related to Prohibited Content.
d) Acts of Disruption and Impersonation.
4.3. FinFan's Monitoring and Enforcement Rights: a) Right to Monitor: FinFan has no obligation to monitor all activities or content on the Platform. However, we reserve the full right, at our sole discretion, to monitor, review, and record any User activity on the Platform without prior notice.
b) Right to Interpret Violations: FinFan has the sole and absolute right to interpret and determine whether a User's conduct constitutes a violation of this Agreement.
c) Enforcement Measures: In the event FinFan determines that a violation has occurred, or suspects a potential violation, we have the full right, immediately and without prior notice, to take one or more of the following actions:- (i) Issue a warning to the User.
- (ii) Remove, edit, or refuse to post any content created by the User.
- (iii) Suspend or permanently terminate the User's access to and use of the Platform.
- (iv) Disclose information about the User and their violating activities to law enforcement agencies, regulatory bodies, or other relevant third parties when we believe it is necessary to protect the rights of FinFan, the community, or to comply with legal requirements.
- (v) Pursue all legal actions and claim damages arising from the violating act.
5. THIRD-PARTY LINKS AND CONTENT
5.1 Existence of Third-Party Links: The User acknowledges and agrees that the Platform may contain hyperlinks or other forms of reference leading to websites, applications, content, or resources not owned or controlled by FinFan ("Third-Party Resources"). These links are provided solely for convenience and for providing additional reference information to the User. The provision of a link by FinFan does not obligate the User to access it.
5.2 Comprehensive and Absolute Disclaimer of Liability: FinFan expressly declares that we have no control over and bear no legal liability whatsoever for Third-Party Resources. Specifically, FinFan is fully exempt from liability for:a) We do not guarantee that Third-Party Resources will always be available, accessible, secure, or error-free.
b) We do not review, moderate, or take responsibility for the accuracy, legality, suitability, or quality of any content, information, advertising, products, or services provided on or through Third-Party Resources.
c) We are not responsible for the terms of use, privacy policies, or data collection and processing practices of any Third Party.
d) We will not be liable for any damages or losses, whether direct, indirect, consequential, or punitive, arising from or alleged to arise from the use of, reliance on, or belief in any content, products, or services available on Third-Party Resources.
5.3 No Endorsement, Guarantee, or Recommendation: The display of a link to a Third-Party Resource on the Platform does NOT constitute, imply, or be interpreted as an act of: a) FinFan does not endorse, guarantee, or make any representations about the quality or reliability of the Third Party or its products and services.
b) FinFan does not recommend that the User should use the products or services of the Third Party.
c) The existence of a link does not automatically mean that there is a partnership, cooperation, or sponsorship relationship between FinFan and that Third Party.
5.4 Absolute Risk and Responsibility of the User: The User acknowledges and irrevocably agrees that you access and use Third-Party Resources entirely at your own risk.a) Once you click on a link and leave FinFan's Platform, you will immediately be subject to the terms of use and privacy policy of that Third Party. These Terms of FinFan will no longer be effective.
b) We strongly recommend that you carefully read and independently assess the terms and policies of any Third-Party website before providing any personal information or engaging in any transaction.
5.5 Dispute Resolution with Third Parties: Any complaints, claims, disputes, or issues arising between you and a Third Party must be resolved directly and solely between you and that Third Party. FinFan has no obligation to participate in, mediate, arbitrate, or intervene in such disputes in any form.
5.6 FinFan's Right of Flexibility: FinFan reserves the full right, at its sole and absolute discretion, to add, remove, or modify any link to a Third-Party Resource on the Platform at any time, for any reason, without prior notice to the User and without incurring any legal liability from such action.
6. LIMITATION OF LIABILITY
6.1 General Statement and Acknowledgment by the User: The User acknowledges, understands, and irrevocably agrees that you access and use the Platform and the Ancillary Services entirely at your own risk. The User also acknowledges that the limitations and disclaimers of liability set out in this Article 6 are a fundamental, reasonable, and essential basis of the agreement between you and FinFan. Without these limitations, FinFan would not be able to provide the Platform and the Ancillary Services on a free basis.
6.2 Comprehensive Disclaimer for Indirect, Consequential, and Special Damages: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FINFAN, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS (hereinafter collectively referred to as "FinFan's Related Parties") BE LIABLE for any damages, whether indirect, consequential, special, incidental, exemplary, or punitive. The list of disclaimed damages includes, but is not limited to:a) Business and Financial Losses: Loss of profits, loss of revenue, loss of business opportunities, business interruption, loss of anticipated savings, or loss of brand reputation.
b) Data and Information Losses: Loss of data, data corruption, costs of data recovery, or damages arising from the inability to access data.
c) Other Intangible Losses: Loss of personal reputation, emotional distress, or any other intangible losses.
This disclaimer of liability applies regardless of the legal theory on which the damages are based (whether contract, tort including negligence, strict liability, or any other theory) and even if FinFan has been advised of the possibility of such damages.
6.3 Limitation of Liability for Direct Damages: In the event, and only in the event, that a court of competent jurisdiction determines that FinFan is liable for any direct damages, notwithstanding the other disclaimers in this Agreement, the User agrees that: The total cumulative liability of FinFan and FinFan's Related Parties to you for all claims, losses, and causes of action arising from or related to your use of the Platform in any one (01) calendar year SHALL NOT EXCEED the lesser of (a) the total actual direct damages you can prove; or (b) VND 1,000,000 (one million Vietnamese Dong).
6.4 Specific Cases of Disclaimer of Liability: In addition to the general provisions above, FinFan is fully exempt from legal liability for damages arising from: a) The User's trust in, reliance on, or decisions based on any Ancillary Services as detailed in Article 3.
b) Any unauthorized access or misuse of your information due to security flaws on your device or network.
c) Any acts, content, or omissions of any Third Party, including defamatory, offensive, or illegal conduct (as provided in Article 5).
d) Any suspension, interruption, or termination of the Platform's operation by FinFan in accordance with its rights under this Agreement.
e) Any viruses, malware, or other harmful components that may infect your device as a result of using the Platform.
f) This acknowledgment of exceptions does not affect or weaken the validity of the other limitation and disclaimer clauses in this Article.
7. MODIFICATION, SUSPENSION, AND TERMINATION
7.1 Unilateral Right of Modification: FinFan reserves the full and sole right to modify this Agreement at any time by posting a new version. Your continued use of the Platform thereafter shall constitute your irrevocable acceptance.
7.2 Right of Suspension and Change: FinFan reserves the right, at any time and at its sole discretion, to suspend, restrict, change, or permanently terminate the operation of all or part of the Platform and the Ancillary Services. These actions may be taken for any reason or no reason, including but not limited to: (i) Maintenance, upgrades, or system repairs; (ii) Security issues; (iii) Requests from competent state authorities or changes in the law; and (iv) FinFan's strategic business decisions. Unless otherwise required by law, FinFan will take these actions without prior notice and will not be liable to you or any third party for any inconvenience, loss, or damage arising from the exercise of this right.
7.3 Termination of Agreement: a) Termination by User: You may terminate this Agreement at any time by completely ceasing to access and use the Platform.
b) Termination by FinFan: FinFan has the sole and absolute right to suspend or permanently terminate your access to the Platform, immediately, without prior notice, and without cause. Circumstances that may lead to termination include, but are not limited to, your violation of any term of this Agreement, or conduct that FinFan deems harmful to the Platform or the user community.
7.4 Survival of Clauses: The clauses on Intellectual Property Rights, Disclaimer of Liability, Limitation of Liability, and Governing Law shall continue in effect even after the termination of this Agreement.
8. GOVERNING LAW AND DISPUTE RESOLUTION MECHANISM
8.1 Governing Law: This Agreement, and all legal issues arising from or related to it, shall be governed and construed solely in accordance with the laws of the Socialist Republic of Vietnam.
8.2 Dispute Resolution by Arbitration: a) Any disputes, disagreements, or claims arising from or related to this Agreement ("Dispute") must first be attempted to be resolved by the parties through good-faith negotiation within thirty (30) days.
b) In the event that negotiation is unsuccessful after the above period, the Dispute shall be finally settled at the Vietnam International Arbitration Centre ("VIAC") at the Vietnam Chamber of Commerce and Industry, in accordance with the Arbitration Rules of VIAC ("VIAC Rules") in force at that time, and these rules are deemed to be incorporated as an integral part of this clause. The Arbitral Tribunal shall consist of three (03) sole arbitrators. The place of arbitration shall be Ho Chi Minh City, Vietnam. The language of arbitration shall be Vietnamese. The arbitral award shall be final and binding on the parties.
8.3 WAIVER OF CLASS ACTION LAWSUITS: TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES AGREE THAT ALL ARBITRATION PROCEEDINGS SHALL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT THROUGH A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. THE USER EXPRESSLY WAIVES ALL RIGHTS TO PARTICIPATE, AS A PLAINTIFF OR A MEMBER OF A GROUP, IN ANY CLASS ACTION LAWSUIT.
8.4 Legal Costs: In the event of any arbitration or legal action to enforce or interpret this Agreement, the prevailing party shall be entitled to be reimbursed by the losing party for all reasonable legal costs, including but not limited to arbitration fees, attorneys' fees, and other litigation costs.
9. MISCELLANEOUS PROVISIONS
9.1 Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire and sole agreement between the User and FinFan regarding the use of the Platform.
9.2 Assignment: FinFan has the full right to assign its rights and obligations. You are not permitted to assign any of your rights or obligations without FinFan's prior written consent.
9.3 No Waiver: FinFan's failure or delay in exercising any right shall not be deemed a waiver of that right.
9.4 Severability: If any provision is declared invalid, the remaining provisions shall remain in full force and effect.
9.5 Relationship of the Parties: Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between FinFan and the User.
9.6 Interpretation: The headings of the Articles in this Agreement are for convenience only and shall not affect the interpretation of the content of the clauses. Words such as "including", "for example" shall be understood as illustrative and not limiting.
9.7 Language: The Vietnamese version of this Agreement is the original and has the highest legal validity.
